NEW YORK, August 7, 2026, Innodata shares fell about 5% on Friday as investors shifted focus from the company’s strong second-quarter earnings beat to a newly announced $300 million equity program that could expand the company’s share count and dilute existing shareholders.
The decline came less than a day after the AI data and digital services company delivered results that exceeded analyst expectations across revenue, earnings, and profitability metrics. While the earnings report initially fueled a sharp after-hours rally, concerns about future dilution tempered enthusiasm as the market reassessed the longer-term impact of the financing initiative.
Revenue Growth Beats Expectations
Innodata reported second-quarter revenue of $92.1 million, representing a 58% increase from the same period last year. Diluted earnings per share rose to $0.41 from $0.20, while adjusted EBITDA climbed 92% to $25.4 million.
The company also expanded its adjusted gross margin to 49%, up from 43% a year earlier. Management attributed the improvement to greater use of reusable datasets and higher-value AI pre-training projects, areas that have become increasingly important as demand for specialized data services accelerates.
The results came in well above market expectations, reinforcing the view that Innodata is benefiting from continued investment in artificial intelligence infrastructure and model development.
Equity Program Raises Concerns
Despite the strong quarter, investor attention quickly turned to Innodata’s announcement of a $300 million at-the-market (ATM) equity program.
Under the arrangement, the company can sell shares gradually through designated sales agents, though it is not required to use the full amount. Based on the after-hours share price near $72.21, a complete utilization of the program would imply the issuance of roughly 4.15 million shares before fees.
That would represent a potential increase of about 12% compared with the approximately 34.4 million shares outstanding at the end of July. The actual impact will depend on when shares are sold and at what prices, but the possibility of a meaningfully larger share base was enough to trigger a pullback in the stock.
For many investors, the key question is whether the additional capital will generate returns that outweigh the dilution.
Guidance Appears Achievable
Management reaffirmed its outlook for more than 40% revenue growth in 2026, implying annual revenue of roughly $352 million.
After generating $182.2 million in the first half of the year, Innodata would need approximately $170 million in the second half, or about $85 million per quarter, to meet the minimum target. That requirement is actually below the revenue delivered in the second quarter, suggesting the guidance may be achievable even without sequential growth.
Executives also indicated that several potentially significant programs are not included in the current forecast, leaving room for future upside if those opportunities convert into revenue.
