The fundraising will be split into two zero-coupon convertible bond tranches due in 2030 and 2032. Pricing is expected after the New York market closes on May 19. The structure includes conversion premiums ranging from 37.5% to 42.5% for the 2030 notes and 30% to 35% for the 2032 notes, indicating investors are pricing in meaningful long-term equity upside.
Buybacks partially offset dilution
Akamai said it intends to allocate approximately $350 million from the proceeds toward repurchasing shares directly from bond investors. The remainder will be used for hedging costs, capital expenditures tied to its Cloud Infrastructure Services division, and expansion of its global edge network.
