Fermi Inc. (NASDAQ: FRMI) shares tumbled in after-hours trading on Thursday after the AI infrastructure developer announced plans to raise $350 million through a convertible senior notes offering. Although the deal is expected to bolster the company’s liquidity, investors appeared more focused on the growing debt burden, potential dilution, and the long road to commercializing its ambitious AI power campus.
The stock finished the regular trading session at $7.32 before sliding roughly 17% to around $6.07 in extended trading following the announcement. The sharp decline reflects investor caution toward companies relying heavily on external financing while still operating without meaningful revenue.
Debt Load Climbs Significantly
The proposed notes will mature in 2031 and include an option allowing initial purchasers to buy an additional $52.5 million of notes, potentially increasing the total raise to $402.5 million.
Fermi said part of the proceeds will fund capped call transactions, which are designed to reduce dilution if noteholders eventually convert the debt into common shares. The remaining funds will support general corporate purposes and ongoing development of the company’s AI-focused infrastructure.
However, the financing also substantially increases leverage. Based on the company’s pro forma financial figures, cash and cash equivalents would rise from approximately $207.5 million to $557.5 million. At the same time, total indebtedness would jump from $439.1 million to approximately $789.1 million.
While the stronger cash position gives Fermi additional flexibility, investors questioned whether the increased debt is justified for a business that has yet to begin generating operating revenue.
Commercial Progress Remains Early
Fermi is developing a large-scale Texas campus that combines dedicated power generation with AI data center infrastructure. The strategy aims to attract hyperscale customers seeking reliable electricity for rapidly expanding artificial intelligence workloads.
The company disclosed that it has held discussions with seven potential tenants and twelve possible joint venture partners. Negotiations are reportedly advancing with several parties, although no binding customer agreements have been announced.
Management also acknowledged that future commercial partnerships could involve issuing a significant number of new shares, creating another potential source of dilution for existing shareholders.
Given the company’s current valuation, the proposed $350 million convertible offering represents roughly 9% of its after-hours market capitalization. If the additional notes are fully exercised, that figure would exceed 10%.
Nuclear Plans Face New Questions
Adding to investor concerns, the Institute for Energy Economics and Financial Analysis (IEEFA) released a report questioning Fermi’s proposed hybrid cooling system for four planned nuclear reactors intended to support its AI campus.
The report argued that the cooling technology would require regulatory approval before deployment and could substantially increase project costs. It also noted that commercial nuclear reactors in the United States have historically relied on conventional water-based cooling systems rather than the hybrid design proposed by Fermi.
Until the company secures major customers and demonstrates tangible operational progress, concerns surrounding leverage, dilution, and project execution are likely to remain key factors influencing FRMI stock.
