Mobix Labs (MOBX) stock rebounded Thursday after the company announced an agreement to acquire Special Project Delivery, Inc. Shares gained 5.02% pre-market to $1.5438 after ending Wednesday 5.77% lower at $1.47. The deal expands Mobix Labs beyond defense electronics into critical minerals, energy infrastructure, and domestic supply chains.
Mobix Labs Targets Broader U.S. National Security Opportunities
Mobix Labs signed a definitive agreement to acquire SPD through an all-stock transaction announced Thursday. The agreement supports the company’s expanding National Security Matters Initiative and broader defense strategy. Mobix plans to use SPD’s platform to enter several strategic infrastructure markets.
SPD develops domestic supply chains covering rare earth elements, critical minerals, energy storage, and related infrastructure. Its project pipeline also includes Western U.S. water resilience, carbon projects, and biosolids opportunities. These areas support industries that require secure domestic resources and reliable infrastructure.
Mobix currently provides technology solutions for defense, aerospace, and other advanced applications. However, its NSM Initiative extends that focus toward additional U.S. national security priorities. The company now plans to connect defense technology with resources supporting domestic production.
SPD Deal Expands Mobix Labs Critical Minerals Strategy
SPD gives Mobix direct exposure to upstream materials and infrastructure supporting defense and industrial production. MOBX Acquisition Uses Stock While Preserving Capital
Mobix structured the SPD acquisition entirely through common stock rather than cash consideration. The company will issue no more than 4.8 million common shares under the agreement. This structure allows Mobix to preserve capital while integrating SPD’s existing projects and expertise.
The transaction remains subject to Mobix shareholder approval and other customary closing requirements. Mobix expects to complete the acquisition before the end of 2026. The company has not announced a specific closing date for the transaction.
Mobix scheduled an investor call for Thursday at 4:15 p.m. ET. Management plans to discuss the recently launched National Security Matters Initiative and its broader strategy. SPD co-founder Paul Singarella will also participate in the discussion.
