MoonPay has signed a definitive agreement to acquire North Capital Investment Technology, adding private-securities infrastructure to its payments business if the deal closes. The companies announced the agreement on September 23 after both boards approved it. Regulators must approve the deal, and other closing conditions remain.
MoonPay Agrees to Buy North Capital
North Capital provides technology and regulated services for private securities. It covers investor onboarding, transaction processing, custody, capital raising and secondary trading. The company works with issuers, fund managers, intermediaries and investors.
The agreement arrives as firms explore ways to connect blockchain systems with traditional assets. A recent tokenized stock conversion system gave approved institutions a route to move real shares onto blockchain networks and back.
What North Capital Adds
North Capital Private Securities Corporation operates as a registered broker-dealer. It also runs PPEX, an alternative trading system that allows eligible private securities to trade outside stock exchanges. The SEC listed North Capital and PPEX on its June 30 ATS register.
MoonPay already provides infrastructure that moves money between conventional currencies and digital assets. Buying North Capital would add securities services to that structure. The companies have not described how MoonPay would combine those services for customers.
PPEX Brings Existing Trading Infrastructure
The acquisition would give MoonPay an existing trading venue instead of requiring the company to build one. North Capital also operates an investment-advisory business. Recent regulatory activity around tokenized U.S. stocks has kept blockchain-based securities products in focus.
PPEX serves eligible securities and operates under North Capital’s broker-dealer business. The trading venue and MoonPay’s customer interface remain separate parts of any future product. The announcement does not say whether MoonPay users will receive direct access.
Customer Access Remains Undefined
MoonPay has not announced a launch date, eligibility rules or a process for using North Capital’s securities services. The agreement therefore changes nothing about customer access while regulators review the planned acquisition.
