SpaceX has closed its $60 billion acquisition of Anysphere, the company behind AI coding tool Cursor. The deal was confirmed via an SEC Form 8-K filing and is widely considered the largest startup acquisition on record.

The transaction was structured as an all-stock deal, with SpaceX issuing approximately 391 million Class A shares. Cursor’s outstanding shares converted into 389.3 million SpaceX shares, with additional restricted stock units and options assumed by SpaceX.
SpaceX stock (SPCX) rose 1.5% on the news, trading at $143.45. The deal officially took effect on August 14, two months after SpaceX first announced the agreement.

Cursor launched in 2023 as an AI assistant designed to help programmers write and debug code more efficiently. It became one of the fastest-growing startups on record and was a central product during the tech industry’s “vibe coding” era.

SpaceXAI Division Takes Shape
Under the new structure, Cursor will operate as a wholly owned subsidiary inside SpaceX’s newly rebranded “SpaceXAI” division. The Cursor team now has access to SpaceX’s Colossus supercomputer.
The combined entity has already launched a beta version of a product called “Grok Bot.” Analysts expect the Cursor brand to eventually be phased out in favor of the Grok name.
SpaceXAI, previously operating under the xAI banner, had limited commercial applications before this deal. The unit had also gone through a series of layoffs and restructuring in the period leading up to the acquisition.
Wall Street Reaction
Morgan Stanley maintained its $300 base price target on SpaceX following the deal. The bank projects the Cursor acquisition could drive up to $13 billion in SpaceX revenue by 2027.
The acquisition positions SpaceX more directly against Anthropic and OpenAI in the competitive AI tools market. Cursor gives SpaceX a proven commercial product with an established developer user base.
The deal closed exactly two months after SpaceX first announced it had reached an acquisition agreement with Anysphere.
