The U.S.-based exchange is pursuing private investment as it looks to expand its business. The company plans to use the money to compete with larger rivals.
Valuation Falls Below 2022 Level
The proposed $1 billion valuation is well below the $4.5 billion pre-money valuation Binance.US secured in 2022. That year, the exchange raised $200 million in seed funding.
Its valuation dropped after Binance Holdings Ltd. settled with the U.S. Department of Justice in 2023. The charges related to anti-money laundering rules.
As part of the settlement, Binance Holdings agreed to pay $4.3 billion in penalties. It also accepted added monitoring and oversight.
Changpeng Zhao, the company’s then-CEO, pleaded guilty to a felony charge. He served a four-month prison sentence and received a pardon from President Donald Trump in 2025.
Competition and Expansion Plans
Binance.US wants to regain market share after the settlement. It faces competition from exchanges such as Coinbase, Kraken, Robinhood and Gemini.
The exchange is reportedly considering offering prediction markets. It also wants to restore certain state money transmitter licenses.
Binance.US is also looking at tapping outside liquidity. That could include liquidity from its global arm.
World Liberty Financial Will Not Invest
Binance.US reportedly told World Liberty Financial about the funding round. World Liberty Financial is the crypto platform co-founded by Trump and his sons.
The company will not take part in the round, according to the report. It has ties to the exchange through its USD1 stablecoin.
Binance holds a large share of the USD1 supply. The exchange has also run promotions involving the stablecoin.
Last year, Abu Dhabi state-backed investment firm MGX invested $2 billion in Binance’s global arm. The deal used the USD1 stablecoin.
The funding plans come as the DOJ reportedly probes whether the exchange is following the 2023 settlement. The agreement required Binance to tighten its anti-money laundering rules and appoint outside compliance monitors.
