That makes Lumentum a big piece of Marvell’s size. Investors seem to fear dilution if the deal is paid for with new stock.
Bernstein analysts noted Marvell held about $3.92 billion in cash in its latest quarter. That covers only a small part of the likely cost.
Any deal would probably need new equity, new debt, or both. Neither company has said how it would pay.
Mizuho analyst Vijay Rakesh pointed to past chip deals. Over the last 15 years, they averaged a 38% premium to the undisturbed stock price.
That would put Lumentum at more than $1,260 a share. It closed Wednesday at $913.95.
Marvell has been busy lately. In the past year, it announced the purchase of Celestial AI for $3.25 billion and XConn for $540 million.
This deal would be by far the largest of that run. Marvell would be going from small purchases to a very big one.
A Rough Morning for Tech
Alphabet reported third-quarter results after Wednesday’s close. Investing.com said it missed revenue and earnings estimates and posted negative free cash flow.
Nasdaq futures fell sharply overnight. The Nasdaq was down about 1.0% Thursday, while the S&P 500 was off 0.2%.
The Federal Reserve held its rate at 3.75% to 4.0% on Wednesday. That offered only modest relief to rate-sensitive stocks.
The market’s usual move on a deal this size is to sell the buyer and buy the target. Thursday’s trading is following that pattern.
Analysts broadly understand the logic of adding Lumentum’s high-speed optical technology to Marvell’s AI lineup. For now, investors are looking at the cost first.
Marvell was down 9.7% in premarket trading Thursday morning, while Lumentum was up 6.0%, according to Barron’s.
