Swarmer (SWMR) stock climbed 4.9% in premarket trading Thursday after the company announced it had signed a definitive agreement to acquire Ukrainian unmanned ground vehicle maker Ratel Robotics for up to $224 million in cash and stock.

The deal marks Swarmer’s first major acquisition under board chairman Erik Prince.
At closing, Swarmer will pay an estimated $7.2 million in cash and issue 1,064,942 stock units to Ratel’s sellers. On top of that, the agreement includes up to $7.2 million in additional cash earnouts and up to 4,422,125 extra stock units, all tied to performance milestones between 2026 and 2028.
Sellers will be subject to a six-month lock-up on issued stock. Swarmer will also provide registration rights to allow future resale once Form S-3 eligibility is available.

Closing is targeted for Q4 2026, pending stockholder approval for the stock issuance, regulatory clearances and other standard conditions.
Ratel Robotics brings a portfolio of modular unmanned ground vehicles that have seen real battlefield use. Its products are deployed for logistics, casualty evacuations, reconnaissance, drone launching and demining operations.
Ratel has secured contracts totaling $86 million so far this year and is currently in discussions with multiple NATO nations under the “Build With Ukraine” initiative.
Its products account for around 37% of the 11 billion UAH (roughly $246.85 million) spent by Ukraine’s Ministry of Defense Procurement Agency on UGV contracts between January 1 and April 18, 2026. That is a meaningful share of a fast-moving procurement market.
Expanding Swarmer’s Robotics Footprint
The acquisition will add Ratel’s full catalogue of combat-tested UGVs to Swarmer’s existing drone autonomy software platform. Swarmer says it plans to combine the two capabilities to create what it calls versatile, interoperable solutions.
Swarmer said it has supported more than 100,000 real-world combat missions in Ukraine since April 2024.
Ratel Robotics currently employs more than 300 people. All are expected to join Swarmer upon deal close, bringing the combined company headcount to nearly 500.
Leadership Structure Post-Close
Taras Ostapchuk, founder and CEO of Ratel Robotics, will remain in his role after closing and will report to Alex Fink, President and U.S. CEO of Swarmer.
The deal structure is designed to align Ratel’s leadership incentives with post-acquisition performance through the multi-year earnout arrangement.
Swarmer said it is pursuing regulatory clearances and stockholder approval for the stock issuance component, with a firm eye on a Q4 2026 close.
